Discuss liability, indemnity, warranties, insurance and dispute mechanisms with counsel in the context of actual scenarios. Do not assume the most aggressive clause is the best commercial outcome; risk transfer can affect price, availability and the supplier’s ability to perform.

Resolve the document stack

Review the order form, master agreement, statement of work, service levels, data terms and incorporated policies together. Identify conflicts, missing definitions and policy-change mechanisms. Counsel should establish appropriate precedence. Capture the version or effective reference for documents that support a material promise.

Check whether a negotiated right is operationally usable. A data-export right has limited value if the format cannot be imported elsewhere or the window closes before migration can finish. A credit process that requires unavailable evidence may fail in practice.

Create an obligations handoff

  • Assign owners for acceptance, reporting, invoices and approval of changes.
  • Calendar notice dates using the actual agreement language and delivery requirements.
  • Preserve pricing schedules, commitments and approval records.
  • Define escalation routes and monitor repeated service failures.
  • Keep exit requirements available before a relationship deteriorates.
